Welcome to Sognelle. These Terms & Conditions ("Terms") govern your access to and use of the website located at www.sognelle.com (the "Site"), operated by Sognelle LLC ("Sognelle," "we," "us," or "our"), a Nevada limited liability company. Please read these Terms carefully before using the Site.

1. Acceptance of Terms

By accessing or using the Site, including joining our waitlist, you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, please do not use the Site.

2. Changes to Terms

We may revise these Terms from time to time at our sole discretion. The "Effective date" above reflects the most recent version. Changes take effect when posted on this page, and your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

3. About the Site; No Offer to Sell

The Site is an informational, pre-launch page for the Sognelle mattress extender, a product currently in development. Nothing on the Site is an offer to sell, a promise of availability, a delivery date, or a price commitment. Product names, features, dimensions, and images describe a product under development and may change before any commercial release.

4. The Waitlist

The Site allows you to submit an email address to join our launch waitlist. Joining the waitlist:

is free and does not obligate you to purchase anything;
does not reserve a product, guarantee availability or pricing, or create any order or contract of sale; and
authorizes us to contact you at that email address about Sognelle's launch and related updates, as described in our Privacy Policy. You may opt out at any time by emailing hello@sognelle.com.

You agree to submit only an email address you own or are authorized to use.

5. User Accounts

The Site does not currently offer user accounts. If accounts are introduced in the future, additional terms will apply and will be posted here. We reserve the right to refuse, suspend, or terminate any account or access to the Site, at our discretion, where these Terms are violated.

6. Payments and Refunds

The Site does not currently sell products or process payments, and we do not collect payment information through the Site. If and when products become available for purchase, payment, shipping, and refund terms will be posted before checkout and will apply to those purchases.

7. Intellectual Property

The Site and all of its content — including the Sognelle name, logo, wordmark, the "Dream bigger" tagline, text, graphics, illustrations, animations, video, page design, and underlying code — are the property of Sognelle or its licensors and are protected by copyright, trademark, and other intellectual-property laws. The Sognelle product design is the subject of one or more pending United States patent applications ("patent pending").

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for personal, non-commercial use. You may not copy, reproduce, republish, distribute, modify, create derivative works from, publicly display, or commercially exploit any Site content without our prior written permission.

8. Prohibited Conduct

You agree not to:

use the Site for any unlawful purpose or in violation of these Terms;
submit false, misleading, or unauthorized information (including email addresses you do not control);
scrape, harvest, or collect data or email addresses from the Site, or access the Site with automated tools except ordinary search indexing;
probe, scan, or test the vulnerability of the Site, attempt to gain unauthorized access to any system or data (including the waitlist), or interfere with the Site's operation, servers, or networks;
upload or transmit viruses or other malicious code; or
impersonate Sognelle or misrepresent your affiliation with us.

9. Third-Party Links

The Site links to third-party platforms (such as our social-media profiles). Those services are governed by their own terms and privacy policies, and we are not responsible for their content or practices.

10. Termination

We may suspend or terminate your access to the Site, and remove you from the waitlist, at any time and without notice if we believe you have violated these Terms or where required for legal or operational reasons. Sections of these Terms that by their nature should survive termination (including Sections 7, 11, 12, 13, and 14) survive.

11. Disclaimers of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY INFORMATION ON THE SITE (INCLUDING PRE-LAUNCH PRODUCT DESCRIPTIONS) IS COMPLETE, ACCURATE, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOGNELLE AND ITS FOUNDER, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify and hold harmless Sognelle and its founder, officers, employees, contractors, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Site.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Nevada, USA, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to personal jurisdiction and venue there.

15. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy, are the entire agreement between you and Sognelle regarding the Site. You may not assign these Terms; we may assign them in connection with a reorganization, merger, or sale of the business.
